Terms of Service
These Terms of Service are an agreement between Arvex Systems Inc. ("Arvex", "we") and the company or organisation that signs up for Mechanical Feed (the "Customer", "you"). The person who signs up confirms they are allowed to agree on the Customer's behalf.
1. The service
Mechanical Feed is maintenance software for mine sites and similar operations: a feed of faults and fixes, equipment health, pre-operational checks, preventive maintenance, parts follow-up, records and reports. Each Customer has its own site in Mechanical Feed; its information is kept separate from every other site's.
We may improve, change or retire features. If we remove something your site relies on, we will tell you at least 30 days before, unless a security or legal reason makes that impossible.
2. Trial, plans and seats
- A new site starts with a 30-day free trial. A card is needed to start it, or billing by purchase order or invoice can be agreed with us instead. Nothing is charged before the trial ends, and you can cancel at any time before it does.
- Plans are priced by the number of units (equipment) in service, not by user: Team (up to 40 units), Fleet (41 to 120), Site (121 to 300) and Enterprise (by agreement). Crew, Community and Equipment access accounts are unlimited; the number of Owners and Admins depends on the plan.
- If your site grows past its plan, we will ask you to move to the plan that fits. Nobody is removed or switched off because of it.
3. Fees and payment
- Fees are in Canadian dollars, plus applicable taxes (such as GST). Payment is by card through our payment processor, Stripe; we never see or keep your card number.
- Plans renew automatically each month or year until cancelled. You can cancel at any time; the cancellation takes effect at the end of the period already paid. Forgot to cancel after the trial? We refund the first charge in full if you ask within 30 days of it. If you cancel a yearly plan part-way, we refund the full months not yet used. Otherwise, fees already paid are not refunded, except where the law requires it.
- We may change prices with at least 30 days' notice; the new price applies from your next renewal.
- If a trial ends without a plan, or a payment fails or a plan is cancelled, your site becomes read-only for 14 days and then locked. Your information is kept (see section 11) and everything comes back when a plan is paid.
4. Accounts and security
- You decide who has an account on your site and at what access level, and you are responsible for what is done under your site's accounts.
- Each person signs in with their own codes and a PIN, password or passkey that they keep to themselves. Owners and Admins confirm new devices and may turn on an authenticator app; we recommend it.
- Tell us straight away at vin@mechanicalfeed.com if you think an account has been misused.
5. Your information belongs to you
- Everything your site puts into Mechanical Feed (equipment, faults, readings, pre-ops, PMs, parts, photos, documents, people's names and posts) is your "Customer Data". You own it.
- You give us permission to store, process, back up and display Customer Data only to run Mechanical Feed for you, to keep it secure, and to support you when you ask.
- We do not sell Customer Data, and we do not use it for advertising.
- Benchmarks (only if your site opts in): we may combine machine information from several sites into anonymous figures (for example, typical hours between failures for a make and model). These figures never identify your company, your site or any person.
- We may use counts about how the service is used (for example, how many sites use PMs) to run and improve it. These counts contain no Customer Data.
6. The record
Mechanical Feed is built so that a site's record can be trusted: a post can be edited only by its author for a short time, every version is kept, and records are switched off or corrected with a reason rather than deleted. You agree that this is how the record works.
7. Acceptable use
You and your people will not: break the law with the service; put in information you have no right to; try to get into another site's information or around the service's security; overload or attack the service; or use it to rank, score or monitor individual workers in a way the law does not allow.
8. Support and access by Arvex
- Support is by email and the in-app "Send to Vin". We reply as soon as we reasonably can.
- Nobody at Arvex can see inside your site day to day. We enter your site only when an Owner books it in the app ("Let Vin in"), for the time booked, and that visit is written in your site's record.
- Our own console shows us only counts and contact details (for example, your plan, number of units, and your Owners' names and emails), never your site's records, except messages your people choose to send us.
9. Ask Zosia and AI
- Ask Zosia answers how-to questions. For Owners and Admins, a question her own answers can't settle may be sent to an AI service (Anthropic's Claude, processed in the United States) together with our help notes. Your site's records are not sent.
- Questions are kept without the asker's name so we can improve the answers. An Owner can switch this off in Control Station.
- Answers may be wrong. Check anything important, and never rely on Ask Zosia for safety, legal or engineering decisions.
10. Safety and compliance
Mechanical Feed helps you record and follow up maintenance and inspections. It is not a safety system and does not replace your legal duties, your inspections, lock-out procedures, the manufacturer's instructions or the judgement of qualified people. You remain responsible for meeting the laws that apply to your site, including the rules on pre-operational inspections in your province or country.
11. Leaving, and what happens to your information
- You can export your information at any time (CSV files, and reports as PDF).
- When your site closes, we give you a complete export on request. The site is then kept locked ("parked") for up to 3 years so you can come back or ask for another copy, and is then deleted, except: anonymous benchmark figures (if you opted in), and records we must keep by law (such as invoices).
- You can ask us to delete your site sooner by writing to vin@mechanicalfeed.com.
12. Custom work and add-ons
Work we do for you on request (setup, imports, custom features) is quoted in writing first. A custom feature built for your site is switched on for your site only.
13. Availability
We work to keep Mechanical Feed available and fast, and parts of it work with no signal, but we do not promise it will always be available or free of errors. We may pause it briefly for maintenance, ideally outside working hours.
14. Warranties and liability
- The service is provided "as is", without warranties beyond those the law does not allow us to exclude.
- Neither party is liable to the other for indirect or consequential losses, such as lost profits, production or data that could have been exported.
- Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
- Nothing in these terms limits liability that cannot be limited by law.
15. Changes to these terms
We may update these terms. If a change matters, we will tell your Owners at least 30 days before it takes effect, and ask everyone to agree to the new version when they next sign in.
16. Law and language
- These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Calgary, Alberta, have jurisdiction.
- These terms are in English. For Customers in Quebec, a French version will be provided first, as Quebec law requires.
